I. General provisions

§ 1 Company name, registered office and financial year

(1) The name of the Company is UNITEDLABELS AG.
(2) The Company has its registered office in Münster.
(3) The Company's financial year corresponds to the calendar year.

§ 2 Object of the Company

(1) The object of the Company is to manufacture and sell licensed products and to develop and acquire licensing rights to market such products domestically and abroad.
(2) The Company shall be entitled to affect any transactions or measures required to directly or indirectly promote the object of the Company. For this purpose, the Company may also establish, acquire or have a stake in other companies both domestically and abroad, and may establish branches both domestically and abroad. The Company shall also be entitled to outsource or transfer its business to affiliated companies, either partially or in full.
